1. Services Provided
ShopiDropship provides custom online store development services, including niche stores and private label stores, based on client specifications. We deliver fully functional stores as per the agreed scope, but the success of your store depends on your management of marketing, social media, inventory, and other operational aspects, which are your responsibility.
2. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information regarding your store requirements.
- Manage all aspects of your store’s operations, including but not limited to marketing, social media, product sourcing, customer service, and inventory management.
- Comply with all applicable laws, regulations, and third-party platform policies (e.g., payment gateways, hosting services) related to your store.
- Pay all fees associated with your store, including development fees and any third-party service costs.
3. Payment and Fees
All fees for our services are outlined in the agreement or invoice provided at the time of purchase. Payments must be made in full and on time as agreed. Failure to make timely payments may result in the suspension or termination of services. All payments are non-refundable, as outlined in our Refund Policy.
4. No Guarantee of Success
ShopiDropship does not guarantee the commercial success, sales, or profitability of your online store. The performance of your store depends on factors outside our control, such as your marketing efforts, product selection, and customer engagement. You acknowledge that you are solely responsible for the results of your store.
5. After-Sale Support
We provide limited free after-sale support as outlined in our After-Sale Support Policy. Free support covers issues directly related to the delivered store for 15 days (niche stores) or 30 days (private label stores). Requests for upgrades, new features, or issues outside the original scope may incur additional fees.
6. Intellectual Property
Upon full payment, you own the customized store we deliver, including its design and functionality, as specified in the project scope. ShopiDropship retains ownership of any proprietary tools, templates, or code used in the development process. You may not reproduce, distribute, or resell our proprietary materials without written permission.
7. Confidentiality
We will treat all client-provided information as confidential and use it solely to fulfill your order. You agree not to share any proprietary information provided by ShopiDropship with third parties.
8. Limitation of Liability
To the fullest extent permitted by law, ShopiDropship is not liable for any indirect, incidental, or consequential damages arising from your use of our services, including but not limited to lost profits, data loss, or business interruption. Our total liability for any claim shall not exceed the amount you paid for the services.
9. Termination of Services
We reserve the right to suspend or terminate services if you:
- Fail to make timely payments.
- Violate these Terms or engage in illegal or fraudulent activities.
- Misuse our services or provide false information.
Upon termination, you will lose access to any ongoing support or services, and no refunds will be issued.
10. Third-Party Services
Your store may rely on third-party services (e.g., hosting, payment gateways, or plugins). ShopiDropship is not responsible for the performance, availability, or policies of these services. You are responsible for complying with their terms and paying any associated fees.
11. Governing Law
